Terms of Service

Handov is provided by Naro AI, Inc., a Delaware corporation ("Handov", "we", "us", or "our").

These Terms of Service govern your access to and use of Handov. By creating an account, accessing, or using Handov, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility and accounts

You must be at least 18 years old or the age of legal majority where you live, whichever is higher, and able to form a binding contract. You are responsible for accurate account information, safeguarding credentials, and activity under your account.

2. Service availability and changes

Features, limits, and availability may change without notice. We may modify, suspend, or discontinue any part of the service at any time, and we do not promise that the service or any content will always be available or error-free.

3. Your content and permissions

You retain ownership of content you provide. You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, and display that content only as reasonably necessary to operate, maintain, secure, support, and improve Handov and to provide features you request.

You represent that you have all rights and permissions needed for content you provide and for your use of the service. You are responsible for complying with recording, consent, privacy, employment, and other laws that apply to you. In particular, if you use Handov to record conversations or your surroundings, you are responsible for providing any notice and obtaining any consent required by the laws that apply to you and to the people being recorded.

If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation to you.

4. Acceptable use

You may not:

  • use Handov unlawfully or to violate another person's rights;
  • violate applicable export control, sanctions, or trade laws;
  • provide content you do not have the right to use;
  • access another account or non-public part of the service without authorization;
  • interfere with security, integrity, availability, or normal operation;
  • introduce malware or attempt to discover or exploit vulnerabilities;
  • reverse engineer the service except where applicable law expressly permits it;
  • use automated means to overload, scrape, or disrupt the service; or
  • bypass access controls, usage limits, or protective measures.

5. AI outputs and third-party services

Handov may produce automated or AI-assisted results that are inaccurate, incomplete, or unsuitable for your circumstances. You are responsible for reviewing results and deciding whether to use them. Do not rely on Handov for medical, legal, financial, emergency, or other high-stakes professional decisions.

Services you choose to connect to Handov are governed by their own terms and policies. We are not responsible for third-party services, their availability, or their handling of information.

6. Suspension and termination

You may stop using Handov at any time. We may limit, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, or if needed to protect Handov, our users, or others. After termination, provisions that by their nature should survive will remain in effect.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDOV IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDOV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNT YOU PAID TO HANDOV FOR THE SERVICE DURING THE PRECEDING 12 MONTHS. These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose, subject to applicable law.

9. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Handov and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your unlawful use of the service, your content or its alleged infringement of another person's rights, or your violation of these Terms.

10. Governing law and venue

These Terms are governed by Delaware law, without regard to conflict-of-law rules. Any dispute arising from these Terms or the service must be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue, except where applicable law requires otherwise.

11. General terms

We may update these Terms by posting an updated version and changing the effective date. Your continued use after the updated Terms take effect means you accept them.

We may provide legal notices by email to the address associated with your account, through the service, or by posting them on the service. Notices are effective when sent or posted, except where applicable law requires otherwise.

If a provision is unenforceable, it will be enforced to the maximum extent permitted and modified only as necessary to make it enforceable, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver, and no waiver by us is effective unless it is in writing and signed by us.

Nothing in these Terms limits either party's right to seek injunctive or other equitable relief where available.

You may not assign these Terms without our consent; we may assign them in connection with our business. These Terms and incorporated policies are the entire agreement between you and us regarding Handov.
